1.Who we are and what this covers
These Terms of Service (the “Terms”) are a binding agreement between you and Bluewater Holdings Group, LLC, a limited liability company doing business as NoSite AI (“nosite,” “we,” “us,” or “our”), and govern your access to and use of nosite.ai, nosite.io, our web and mobile applications, APIs, generated websites, and related services (together, the “Service”). By creating an account, clicking “I agree,” or using the Service, you accept these Terms and our Privacy Policy, which is incorporated by reference. If you do not agree, do not use the Service.
“Agents” in these Terms means our members, managers, officers, employees, contractors, advisors, affiliates, subsidiaries, parents, successors, assigns, licensors, and service providers. Every protection, disclaimer, limitation, release, and indemnity in these Terms that benefits us also benefits our Agents, each of whom is an intended third-party beneficiary of those provisions.
2.Eligibility and accounts
You must be at least 18 years old and able to form a binding contract to use the Service. The Service is offered to businesses and individuals acting in a commercial capacity, not to consumers for personal, family, or household purposes. You are responsible for your account credentials and for everything that happens under your account. Give us accurate information, including a working email address and phone number, and keep it current. We may refuse, suspend, or close accounts at our discretion.
3.What the Service does
In plain words: We find businesses with no website, build each one a site from public information, and give you a script and tools to offer it to them. You make the calls. They decide.
The Service (a) searches public business listings for businesses that appear to have no website, (b) generates a one-page website for a business using publicly available information about that business and content you supply, (c) gives you talking points, links, QR codes, and messaging tools to present the site to the business, (d) lets the business pay a monthly hosting fee to keep the site online and, where available, obtain a web address, and (e) lets you collect a build price from the business through your own payment account. We may add, change, or remove features at any time.
Generated content is produced by automated systems, including artificial intelligence, and may be inaccurate, incomplete, or inappropriate. You are responsible for reviewing anything before you present it to a business and for any statements you make about it.
4.You are an independent business
In plain words: You are not our employee, agent, partner, or franchisee. Your customers are yours. Your taxes are yours.
You use the Service as an independent business. Nothing in these Terms creates an employment, agency, partnership, joint venture, or franchise relationship between you and us. You have no authority to bind us, make promises on our behalf, or represent that you are affiliated with us beyond stating that the sites are “made with nosite.” You are solely responsible for the relationship with each business you contact (your “Customer”), including what you tell them, what you charge them, your invoices, refunds, disputes, taxes, licenses, registrations, and compliance with any laws that apply to your activity. Any build price or other amount you charge a Customer is between you and that Customer; we are not a party to it and do not guarantee it.
We make no promise that you will earn any money, close any sale, or achieve any result. Any figures on our site or in the app (build prices, hosting shares, examples) are illustrations, not guarantees, and your results depend on your own effort and circumstances.
5.Calls, texts, and compliance
In plain words: Calling and texting businesses is on you. Know the rules where you are, honor do-not-call requests, and never pretend to be someone you’re not.
The Service provides tools that help you place calls and send messages from your own phone number and devices. We do not place calls or send messages to Customers on your behalf. You are solely responsible for complying with all laws that apply to your outreach, which may include the Telephone Consumer Protection Act, the Telemarketing Sales Rule, the CAN-SPAM Act, state telemarketing and do-not-call laws, call-recording and consent laws, and the rules of any carrier or platform you use. You will honor any request to stop contacting a person or business, will not use automated dialers or prerecorded messages through the Service, will not misrepresent who you are or what you are offering, and will not contact anyone in a way that is harassing, deceptive, or unlawful.
If we later offer call routing, tracking, or messaging through numbers we provision, additional terms will apply and you will remain responsible for the content and lawfulness of each communication.
6.Plans, fees, and billing
Some features require a paid plan. Plan prices, limits, and features are described in the app and may change with notice. Subscriptions renew automatically each billing period until cancelled. You may cancel at any time through the billing portal; cancellation takes effect at the end of the current period, and fees already paid are non-refundable except where the law requires otherwise. Usage limits (for example, searches or sites per month) reset on your billing cycle and do not roll over. We may change prices for future periods with at least 14 days’ notice. Taxes are your responsibility unless we are required to collect them.
Payments are processed by Stripe. You agree to the Stripe Services Agreement as applicable. Failed payments may result in suspension or downgrade.
7.Getting paid through the Service (Stripe Connect)
In plain words: When you take a build payment by card, the money goes to your own Stripe account. We never hold it and we don’t referee disputes between you and your Customer.
If you enable payments, you will be asked to create a connected account with Stripe, and the Stripe Connected Account Agreement will apply to you. Build payments you collect through the Service are charged on your connected account, settle to you, and are subject to Stripe’s processing fees. We are not the merchant of record for those payments, do not hold or guarantee those funds, and have no obligation to resolve chargebacks, refunds, or disputes between you and your Customers, though we may share information with Stripe or a Customer as needed to address a dispute. You are responsible for all amounts, fees, chargebacks, and penalties on your connected account. We charge a platform fee on connected-account payments, currently 2% of the payment amount, which together with Stripe’s processing fees is deducted before funds settle to you. We may change the platform fee with notice.
8.Hosting, web addresses, and the Customer’s site
In plain words: A business pays $19 a month to keep its site online. If it stops paying, the site goes offline. Web addresses we buy are registered in our name and licensed to the business while it pays.
A Customer may pay a monthly hosting fee (currently $19 per month, subject to change) to keep its generated site online (“Hosting”). Hosting is a subscription between the Customer and us, governed by these Terms and any terms shown at checkout. If Hosting lapses, we may take the site offline, display a notice, and delete it after a reasonable period. Where we obtain a web address for a Customer, we register and hold that address in our name or our registrar’s name and license its use to the Customer for as long as Hosting is active. We may decline to obtain, renew, or keep any web address, and we may release a web address when Hosting ends. Web addresses are subject to registrar and registry policies and availability, and we do not guarantee that any particular name can be obtained or retained. On request, and where the registrar permits, we may transfer a web address to a Customer whose Hosting is in good standing, which may involve a fee.
If your plan includes a “hosting share,” we will pay you the stated amount for each month a Customer you brought keeps Hosting active and in good standing, through a payout method we support (which may require a connected Stripe account). Hosting shares are a revenue-share payment, not wages, and stop when the Customer’s Hosting ends, when your account is closed, or when we discontinue the program with notice.
9.Previews
Generated sites begin as previews. Previews expire after 14 days unless the Customer begins Hosting. You or the Customer may reactivate an expired preview a limited number of times. We may remove any preview at any time, including when it contains content that violates these Terms or a third party’s rights, or on request of the business it describes.
10.Content and ownership
In plain words: We own the platform. Businesses own their names, photos, and reviews. You get a license to use what we generate while you use the Service.
Our property. The Service, including its software, design kit, templates, scripts, text, graphics, and the nosite name and logo, is owned by us or our licensors and protected by intellectual-property laws. We grant you a limited, revocable, non-exclusive, non-transferable license to use the Service for its intended purpose while you comply with these Terms. You may not copy, modify, reverse engineer, scrape, resell, frame, or create derivative works from the Service, or remove any notice or watermark except through a feature we provide.
Business information. Generated sites use information that is publicly available about a business, including names, addresses, hours, photos, and reviews obtained from third-party sources such as Google. That information belongs to its respective owners and is subject to those sources’ terms. We do not claim ownership of it and do not grant you any rights in it beyond displaying it as part of a generated site. If a business objects to the use of its information, we may remove the site.
Your content. You keep ownership of content you provide (notes, instructions, edits, photos, and the like). You grant us a worldwide, non-exclusive, royalty-free, sublicensable license to host, store, reproduce, modify, display, and distribute that content as needed to operate, improve, secure, and promote the Service. You represent that you have the rights to provide it and that it does not infringe anyone’s rights or violate any law.
Generated sites. As between you, your Customer, and us, we grant the Customer a license to display its generated site through the Service while Hosting is active, and we grant you a license to present it to the Customer. We retain all rights in the underlying templates, code, and design system, and we may reuse non-identifying design elements across the Service.
Feedback. If you send us ideas or suggestions, we may use them without restriction or compensation.
11.Acceptable use
You will not use the Service to: violate any law or regulation; infringe or misappropriate anyone’s rights; harass, threaten, or defame anyone; send spam or unsolicited bulk messages; misrepresent your identity or affiliation; build sites for businesses that have asked not to be contacted; build or use sites for unlawful, deceptive, adult, gambling, weapons, controlled-substance, or high-risk financial businesses, or any business we reasonably decline to serve; upload malware or interfere with the Service; access the Service through automated means except through interfaces we provide; circumvent usage limits, watermarks, or payment; or resell, sublicense, or white-label the Service without our written permission. We may investigate and take any action we consider appropriate, including removing content, suspending or terminating accounts, and reporting to authorities.
12.Third-party services
The Service relies on third-party services, including Google (business listings, photos, and maps), Stripe (payments), Vercel (hosting and web addresses), Supabase (data storage and authentication), Resend (email), Anthropic (AI generation), and, if enabled, Twilio (calls and messaging). Those services are governed by their own terms and privacy policies, we are not responsible for them, and the Service may be affected by changes or outages outside our control. By using location, listing, or map features you agree to be bound by the Google Terms of Service and Google Maps Platform terms as applicable.
13.Referrals and the Friends program
If we offer a referral or “Friends” program, its specific rewards, conditions, and limits are described on the Friends page and form part of these Terms. We may change or end the program at any time, decline or claw back rewards that result from fraud, self-referral, fake accounts, or abuse, and require a connected Stripe account or tax information before paying cash rewards.
14.Termination
You may stop using the Service and close your account at any time. We may suspend or terminate your access at any time, with or without notice, for any reason or no reason, including breach of these Terms, inactivity, legal risk, or discontinuation of the Service. On termination your license ends, we may delete your data after a reasonable period, and sections that by their nature should survive (including ownership, disclaimers, limitations of liability, indemnity, dispute resolution, and payment obligations) will survive. Customer Hosting subscriptions may continue after your account closes, in which case any hosting share stops.
15.Disclaimers
THE SERVICE, ALL GENERATED CONTENT, AND ALL INFORMATION OBTAINED THROUGH IT ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITH ALL FAULTS, WITHOUT WARRANTY OF ANY KIND. TO THE FULLEST EXTENT PERMITTED BY LAW, WE AND OUR AGENTS DISCLAIM ALL WARRANTIES, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AND UNINTERRUPTED OR ERROR-FREE OPERATION. WE DO NOT WARRANT THAT ANY BUSINESS LISTING IS ACCURATE, THAT ANY BUSINESS LACKS A WEBSITE, THAT ANY GENERATED CONTENT IS CORRECT OR LAWFUL, THAT ANY WEB ADDRESS CAN BE OBTAINED, OR THAT YOU WILL EARN ANY INCOME. YOU USE THE SERVICE AT YOUR OWN RISK.
16.Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL WE OR OUR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE, HOWEVER CAUSED AND UNDER ANY THEORY OF LIABILITY, EVEN IF ADVISED OF THE POSSIBILITY. OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS. THESE LIMITS APPLY EVEN IF A REMEDY FAILS OF ITS ESSENTIAL PURPOSE. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THESE MAY NOT APPLY TO YOU.
17.Indemnification
You will defend, indemnify, and hold harmless us and our Agents from and against all claims, demands, damages, losses, liabilities, judgments, settlements, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to: your use of the Service; your calls, texts, emails, or other communications with any person or business; your relationship with any Customer, including fees, refunds, and disputes; content you provide or sites you present; your breach of these Terms or any law; or your negligence or willful misconduct. We may assume the exclusive defense and control of any matter subject to indemnification, and you will cooperate with us.
18.Release
Because we are not a party to your dealings with Customers or other users, you release us and our Agents from all claims, demands, and damages of every kind, known or unknown, arising out of or connected with disputes between you and any Customer, business, or other user.
19.Dispute resolution, arbitration, and class action waiver
In plain words: If we have a problem, we talk first. If that fails, it goes to individual arbitration in Alabama, not to court and not as a class action. You can opt out of arbitration within 30 days of accepting these Terms by emailing us.
Informal resolution. Before starting any formal proceeding, you and we agree to try to resolve the dispute informally by sending written notice to the other (to us at hello@nosite.ai) describing the claim and the relief sought, and then conferring in good faith for at least 30 days.
Arbitration. Except for small-claims matters and claims for injunctive relief to protect intellectual property, any dispute, claim, or controversy arising out of or relating to these Terms or the Service will be resolved by binding individual arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules. The arbitration will be conducted in Jefferson County, Alabama, or by video, by a single arbitrator, and judgment on the award may be entered in any court of competent jurisdiction. The Federal Arbitration Act governs this section.
Class waiver. YOU AND WE AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate claims or preside over any form of representative proceeding.
Opt-out. You may opt out of this arbitration agreement by emailing hello@nosite.ai with the subject “Arbitration opt-out” within 30 days after first accepting these Terms. Opting out does not affect any other part of these Terms.
Governing law and venue. These Terms are governed by the laws of the State of Alabama and applicable U.S. federal law, without regard to conflict-of-laws rules. Subject to the arbitration agreement, the state and federal courts located in Jefferson County, Alabama have exclusive jurisdiction, and you consent to personal jurisdiction there.
Time limit. Any claim must be brought within one year after it arises, or it is permanently barred, to the extent the law allows.
20.Changes to the Service and these Terms
We may change the Service or these Terms at any time. For material changes we will give notice, for example by email, in the app, or by updating the date above, at least 14 days before the change takes effect unless a change is needed sooner for legal or security reasons. Continued use after the effective date is acceptance of the updated Terms. If you do not agree, stop using the Service and close your account.
21.General
These Terms, the Privacy Policy, and any terms shown at checkout are the entire agreement between you and us about the Service and supersede prior agreements. If any provision is unenforceable, it will be modified to the minimum extent necessary and the rest remains in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them freely, including to an affiliate or successor. We are not liable for delays or failures caused by events beyond our reasonable control. Notices to you may be sent to the email on your account. Notices to us go to hello@nosite.ai. The parties are independent contractors. Headings are for convenience only. “Including” means “including without limitation.”
